Terms & conditions

The terms governing use of the VNK Avenue platform.

1. Acceptance of these terms

These Terms & Conditions ("Terms") govern access to and use of the VNK Avenue website, mobile application and trading platform (together, the "Platform"), operated by VNK Avenue (Licence No. [REQUIRES COMPANY INPUT]) ("we", "us", "the Company"). By registering for an account, or by accessing or using the Platform in any way, you ("you", "the Customer") agree to be bound by these Terms. If you do not agree to them, do not register for or use the Platform.

2. Eligibility and account registration

You may open an account with us only if you:

  • are at least 18 years of age and legally competent to enter into a binding contract;
  • are permitted under the laws of your country of residence to hold a trading account with us and to trade the markets you access through the Platform;
  • complete the Know Your Customer ("KYC") process, including submission of a government-issued identity document, proof of address, a tax or national identification number where required, and a live photograph, as required under applicable regulations; and
  • are not barred, suspended or otherwise prohibited by any regulatory, governmental or exchange authority from trading in securities.

You are responsible for the accuracy and completeness of the information you provide during registration and for keeping it up to date. We may suspend or close an account where information provided is found to be false, incomplete or could not be verified.

3. Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorised access to your account. We are not liable for losses arising from your failure to keep your credentials secure.

4. Nature of the Platform

The Platform allows you to place orders for execution on the exchanges and segments described on the Trading page, and to manage the resulting positions, holdings and funds. Orders are placed at your own instance and discretion; the Platform does not provide investment advice, and nothing on it should be construed as a recommendation to buy, sell or hold any security. 5. Orders, execution and margins

Orders are transmitted to the relevant exchange for execution and are subject to exchange rules, market conditions, liquidity and applicable margin requirements. We do not guarantee execution of any order, or that an order will be executed at the price displayed at the time it was placed. You must maintain sufficient funds or margin in your account, as computed and displayed on the order ticket, before placing an order; we may reject, cancel, or square off positions where margin requirements are not met, including through the automated processes described in your account dashboard.

6. Fees and charges

Brokerage, statutory charges (STT/CTT, GST, stamp duty, exchange transaction charges, regulatory turnover fees) and any other applicable charges are itemised on the order ticket before you place an order, and again on the contract note afterwards. The current schedule is available from us on request and forms part of these Terms. We may revise charges from time to time; the schedule in force at the time of a trade applies to that trade.

7. Prohibited conduct

You must not, and must not attempt to:

  • use the Platform for any market manipulation, front-running, circular trading or other practice prohibited under applicable securities regulations;
  • use the Platform on behalf of, or for the benefit of, a third party without our prior written consent;
  • interfere with, probe, or attempt to bypass the Platform's security, rate limits or authentication controls;
  • use automated means (bots, scrapers) to access the Platform except through an interface we have explicitly authorised; or
  • use the Platform for any unlawful purpose, including money laundering or the financing of terrorism.

8. Suspension and termination

We may suspend or terminate your access to the Platform, with or without notice, where we reasonably believe you have breached these Terms, where required by a regulator or exchange, or where we are unable to complete or maintain your KYC verification. You may close your account at any time, subject to settlement of any open positions and outstanding dues.

9. Intellectual property

The Platform, including its software, design, trademarks and content, is owned by or licensed to the Company. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your own trading activity. You may not copy, modify, reverse-engineer or redistribute any part of it.

10. Limitation of liability

To the fullest extent permitted by law, the Company is not liable for any indirect, incidental or consequential loss arising from your use of the Platform, including losses arising from market movements, system downtime, delayed or failed order execution, or third-party data feed interruptions. This does not exclude any liability that cannot lawfully be excluded, including liability arising from our fraud or wilful default.

11. Indemnity

You agree to indemnify and hold the Company harmless against any claim, loss or expense arising from your breach of these Terms or your misuse of the Platform.

12. Force majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including exchange or depository outages, internet or telecommunications failures, power outages, natural disasters, or acts of government.

13. Governing law and dispute resolution

These Terms are governed by the laws of India. Disputes arising from your use of the Platform are subject to the exclusive jurisdiction of the courts having jurisdiction over the Company's registered office (see the Security page), without prejudice to any dispute resolution mechanism — including arbitration, or any investor grievance mechanism — mandated for regulated intermediaries in the jurisdictions in which we are licensed.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email; continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.
